Paola Manes is professor at University of Bologna, Italy, where she teaches Private Law and Private Comparative Law. She practises as a lawyer in Bologna. She is a former member (independent director) of the board of directors of Unipol Gruppo Finanziario S.p.A., currently member (independent director) of the board of directors of Unipolbanca S.p.A. and substitute auditor of Unicredit S.p.A. She has been an expert in ICC (International Chamber of Commerce) arbitration proceedings in London. She has been invited as guest lecturer in several EU universities such as King's College, London, Queen Mary University of London, University of Oslo, HTW university Berlin, IE University Madrid. With the University of Bologna she has taken part in the “World Universities Comparative Law Project” by Allen & Overy, Global Law Intelligence Unit. She is author of several academic papers and monographson topics related to Civil Law, Business Law, Comparative Law, Company Law, Insurance Law, Trust Law and Family Law. She seats in the editorial board of the legal reviews Contratto e Impresa, Contratto e Impresa Europa and she is referee of Famiglia e Diritto.


The course will provide an overview of the different approaches available to identify the rules governing cross-border commercial relations, given the existence of relevant differences in domestic legal systems. In this respect, it will provide an overview of the topic of international contracts, boiler plate clauses, arbitration, and banking guarantees. Also, the course will cover some features and main issues of banking regulation, legal aspects of the housing bubble and of the 2007-2009 financial crisis, as well as the main issues of corporate governance and of banking transactions and banking contracts. Some insights on data protection and privacy issues in commercial litigations will also be provided.
